JOINT STATEMENT — AGREEMENT RESOLVING LITIGATION

Over the past few years, Piphany, LLC, and some of its independent fashion stylists, and LLR, Inc., a.k.a. LuLaRoe, have been engaged in a protracted legal battle with cases filed in Utah and arbitrations pending in California. Piphany and LuLaRoe have come to an agreement which resolves the existing litigations and demonstrates their commitment to the principles of enforcement of contractual agreements and protection of business interests. As part of the litigation process, Piphany has discovered conduct by an individual employee and stylists which is inconsistent with its currently accepted business practices and ethics. As part of the agreement, and without admitting fault, the individual employee, who is no longer with the company, and stylists in question have agreed to resign their positions. The companies are pleased to have reached an agreement to resolve their disputes and believe continuing to engage in litigation is not in anyone’s best interest. Both Piphany and LuLaRoe are hopeful that, in the future, matters of concern between them can be resolved through dialogue rather than lawsuits.
